GMC Exporters Ltd. – Sugar Supply Terms
Welcome to GMC Exporters. By engaging in business with us, you agree to the following terms and conditions governing our products, orders, and transactions.
✅ 1. General Terms

These Terms & Conditions apply to all product sales, quotations, and agreements between GMC Exporters and its customers unless otherwise specified in writing.

No terms or conditions provided by the buyer shall override these unless expressly accepted in writing by GMC Exporters.
✅ 2. Product Information

We supply bulk Brazilian sugar including ICUMSA 45, ICUMSA 150, Raw Brown Sugar, and Organic Sugar.

Product specifications such as ICUMSA rating, polarization, moisture, and packaging are provided in our Proforma Invoices and product catalog.

Product quality is guaranteed as per SGS (or equivalent) inspection at the port of loading.
✅ 3. Quotations & Orders

All price quotations are valid for a limited period as stated in the Proforma Invoice or quotation document.

Orders must be confirmed with a signed Proforma Invoice and agreed payment terms.

Minimum Order Quantities (MOQ) apply per product and will be indicated in the quotation.
✅ 4. Pricing & Payment

Prices are quoted in USD per metric ton unless otherwise agreed.

Standard payment terms:
-
30% deposit upon order confirmation.
-
70% balance before shipment (via T/T or L/C).

Buyer is responsible for all banking fees and charges outside Brazil.
✅ 5. Shipping & Delivery

Products are shipped under FOB (Free on Board) or CIF (Cost, Insurance & Freight) terms.

Delivery timelines are estimated and subject to:

Production schedules
-
Port operations
-
Customs clearance
-
Unforeseen delays (Force Majeure)

Title of goods passes to the buyer upon delivery at the port (FOB) or at destination port (CIF).

SGS Inspection Certificate

Certificate of Origin

Packing List
-
Bill of Lading
-
Commercial Invoice

Organic Certifications (for Organic Sugar)
✅ 7. Product Inspection & Acceptance

All goods are inspected before shipment by SGS or another mutually agreed independent inspector.

Buyers must notify GMC Exporters of any claims within 3 working days of product delivery at the destination port.

No claims will be accepted after this period.
✅ 8. Returns & Refunds
-
Due to the nature of bulk food commodities, no returns or refunds will be accepted unless the product fails the agreed quality parameters, as verified by an independent inspection at the port of discharge.
✅ 9. Force Majeure
GMC Exporters is not liable for delays or non-performance caused by events beyond its control, including but not limited to:

Natural disasters

Acts of government or customs
-
Labor disputes or strikes
-
Transportation issues
-
Political unrest or war
✅ 10. Dispute Resolution

Any disputes shall be settled amicably between both parties.

If no agreement is reached, disputes shall be resolved through binding arbitration under the rules of the International Chamber of Commerce (ICC).

Governing law: Brazilian law (unless otherwise agreed).
✅ 11. Confidentiality
All trade terms, pricing, documentation, and business discussions between GMC Exporters and its clients are considered confidential and may not be shared with third parties without written consent.
✅ 12. Amendments
GMC Exporters reserves the right to amend these Terms & Conditions at any time. Buyers will be notified of any changes in writing before such changes take effect.
